Agreement to Terms

By accessing or using any services provided by Astadio ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, clients, and others who access or use our website, products, and services.

Services

Astadio provides software development services including but not limited to:

• Custom application development (web, mobile, enterprise)
• WhatsApp automation and messaging solutions
• Workflow automation and integration services
• SaaS application development and deployment
• Ordering systems, helpdesk solutions, sales lead management, and WhatsApp API integration

The specific scope, deliverables, and terms for each project will be outlined in a separate project agreement or statement of work.

Client Responsibilities

As a client of Astadio, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the right to use any content, materials, or data provided to us
• Make payments according to the agreed-upon schedule
• Not use our services for any unlawful or prohibited purposes

Project Agreements

Individual projects will be governed by separate project agreements that specify:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revision and change request procedures
• Acceptance criteria

In case of any conflict between these Terms and a specific project agreement, the project agreement shall prevail for matters related to that project.

Payment Terms

Payment terms will be specified in individual project agreements. General payment policies include:

• Invoices are due within the timeframe specified in the project agreement (typically 14-30 days)
• Late payments may incur interest charges as specified in the project agreement
• We reserve the right to suspend work on projects with outstanding payments
• All fees are non-refundable unless otherwise stated in writing

Intellectual Property

Client Materials

You retain all rights to materials you provide to us (logos, content, data, etc.). You grant us a limited license to use these materials solely for the purpose of providing our services.

Deliverables

Upon full payment, you will own the custom code and designs created specifically for your project, as outlined in the project agreement.

Our Tools and Libraries

We retain ownership of our proprietary tools, frameworks, libraries, and methodologies. We may grant you a license to use these as part of your deliverables, as specified in the project agreement.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and source code
• Customer data and user information
• Financial information
• Any information marked as confidential

Confidentiality obligations survive the termination of our business relationship.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. We will make reasonable efforts to ensure deliverables meet the specifications outlined in the project agreement.

Limitation of Liability

To the maximum extent permitted by law, Astadio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or data breach damages
• Business interruption
• Any other pecuniary loss

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Astadio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or materials you provide to us

Termination

Either party may terminate a project agreement according to the termination provisions specified therein. In the absence of such provisions:

• Either party may terminate with 30 days written notice
• We may terminate immediately if you breach these Terms or fail to make payment
• Upon termination, you shall pay for all work completed up to the termination date
• Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination

Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful code, malware, or spam
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm others
• Interfere with the proper functioning of any systems or networks

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, or infrastructure failures.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Astadio operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good faith negotiation, and if necessary, binding arbitration or litigation in the appropriate courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date and, where appropriate, notifying you directly. Your continued use of our services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and Astadio regarding our services and supersede all prior agreements and understandings.
